WATCHFLOOR TERMS AND CONDITIONS OF USE

These Terms and Conditions of Use (“Terms”) govern your access to and use of Watchfloor, available at crisis.notamy.app and related Watchfloor services (“Watchfloor” or the “Services”).

By accessing or using Watchfloor, creating an account, purchasing a subscription or credits, or commissioning a report, you agree to these Terms and our Privacy Policy.

1. About Watchfloor

Watchfloor is a crisis-intelligence and decision-support platform.

Depending on the features and account level available to you, Watchfloor may provide:

Some features are available free of charge and others may require a subscription, credits or separate purchase.

Watchfloor is primarily intended for professional, business, research and institutional use, but individuals and consumers may also use the Services.

2. Eligibility and Accounts

You must be at least 18 years old to use Watchfloor.

By creating an account or using the Services, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

Watchfloor currently uses Google sign-in.

We may refuse, restrict or suspend access where reasonably necessary for security, misuse prevention, legal compliance or protection of the Services.

3. Decision-Support Service

Watchfloor provides information and analysis intended to support research, situational awareness and decision-making.

Watchfloor does not replace:

4. Earthquake and Disaster Information

Watchfloor monitors earthquakes and other hazards using third-party scientific, governmental and other data sources and may combine this information with Watchfloor models and analysis.

Watchfloor does not predict earthquakes.

Watchfloor does not provide earthquake early warning and is not an official emergency-warning or emergency-alert system.

Earthquake information may be delayed, incomplete or revised after an event. Magnitudes, locations, ShakeMaps and other information may change as source agencies receive additional data.

Watchfloor may provide modelled estimates concerning matters such as:

These are estimates and do not constitute observations of the actual condition of every person, building, asset or location.

Hypothetical or “what-if” scenarios are simulations only and are not predictions of future earthquakes or disasters.

In an emergency, you should follow information and instructions issued by the relevant official authorities.

5. Risk Scores, Forecasts and Analytical Outputs

Watchfloor may produce risk scores, rankings, trends, forecasts, classifications, summaries and other analytical or modelled outputs.

These outputs may combine:

They represent analytical assessments based on information available at a particular time and may be inaccurate, incomplete, delayed or subsequently revised.

A score, forecast, classification or assessment does not guarantee that an event will or will not occur.

6. Artificial Intelligence

Certain Watchfloor features use third-party artificial-intelligence systems.

Information you submit through AI-enabled features may be processed by third-party AI providers as described in the Watchfloor Privacy Policy.

AI-generated or AI-assisted outputs may:

Watchfloor may use multiple analytical stages, including generation, challenge, adversarial review and synthesis.

Adversarial review may be automated and does not necessarily involve human review unless Watchfloor expressly states otherwise.

These processes are intended to improve analysis but do not guarantee accuracy.

You should independently verify important information against original or official sources where appropriate.

7. Third-Party Data and Services

Watchfloor depends on third-party data, infrastructure and services, including scientific and governmental data providers, satellite and geospatial services, AI providers, payment processors and cloud infrastructure.

Where Watchfloor identifies the source of information, you should consult the original source where independent verification is important.

Third-party materials remain subject to the rights, licences and terms of their respective owners.

8. User Inputs and Registered Assets

You may provide Watchfloor with research questions, prompts, asset or site information, report instructions and other information (“User Inputs”).

You retain any rights you have in your User Inputs.

You grant Notamy Ltd a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process and otherwise use your User Inputs only as reasonably necessary to:

9. Watchfloor Studio and Reports

Watchfloor Studio allows users to commission intelligence reports and other analytical outputs.

Reports reflect information and analysis available at the time they are produced. Later information may materially change an assessment.

Any stated delivery time is an estimate unless expressly agreed otherwise.

We may refuse, suspend or cancel a commission where:

Where credits have been deducted for a chargeable run that fails or is interrupted before completion, the applicable credits will be returned in accordance with the Watchfloor credit system.

Some reports or files may only remain available for download for a limited period displayed within the Services. You are responsible for downloading any material you wish to retain.

10. Use and Sharing of Watchfloor Outputs

Subject to these Terms and applicable third-party rights, you may use Watchfloor outputs for personal, professional and internal business purposes.

You may also share Watchfloor reports or outputs with:

11. Intellectual Property

Notamy Ltd owns or licenses the rights in Watchfloor, including its:

Except as expressly permitted by these Terms, you may not reproduce, modify, reverse engineer, sell, sublicense or commercially exploit Watchfloor or its proprietary components.

12. Subscriptions

Watchfloor may offer paid subscription plans.

The applicable price, billing period and features are displayed before purchase.

Subscriptions are processed through Stripe and may automatically renew until cancelled.

You may cancel a subscription through the available account or payment mechanism. Cancellation prevents future renewal but does not ordinarily refund amounts already paid, except where required by applicable law.

When a paid subscription ends, your account may revert to a free tier.

We may change subscription prices or included features. Changes affecting an existing paid subscription will apply in accordance with the notice and consumer-protection requirements applicable to that subscription.

13. Credits

Certain Watchfloor features use credits.

The number of credits required for a feature or commission will be displayed or otherwise made available before the chargeable action.

Credits are contractual units for use within Watchfloor. They:

Purchased credits currently do not expire unless different terms are clearly disclosed before purchase.

Promotional, complimentary or free credits may be subject to separate conditions.

Where a Watchfloor process is charged but fails or is interrupted before completion, credits deducted for that process may be automatically returned.

14. Payments, Refunds and Consumer Rights

Payments are processed through Stripe. Watchfloor does not store your complete payment-card details.

Prices and applicable taxes will be displayed at or before checkout as required.

Except where expressly stated or required by applicable law:

This does not affect automatic credit returns for qualifying failed or interrupted Watchfloor processes.

Consumers

If you use Watchfloor as a consumer, nothing in these Terms excludes or limits any statutory right or remedy that cannot lawfully be excluded or limited.

Where applicable consumer law gives you a right to withdraw from a distance contract, including any applicable statutory withdrawal period, you may exercise that right subject to the conditions and exceptions provided by law.

Where you expressly request or consent to Watchfloor beginning performance of a service during an applicable withdrawal period, the legal consequences of that request, including any amount properly payable for services already supplied, will be governed by applicable consumer law.

Your statutory rights relating to the supply, conformity, modification, termination or refund of digital services remain unaffected.

15. Acceptable Use

You must not:

16. Alerts, Dispatches and Availability

Watchfloor may provide scheduled reports, alerts, emails or other notifications where those features are enabled.

Notifications depend on external data, communication infrastructure and other third-party systems and may be delayed, interrupted, disabled or unavailable.

You must not rely solely on a Watchfloor notification where timely information is important for safety or emergency response.

Watchfloor is provided without a guaranteed service level unless Notamy Ltd expressly agrees otherwise in writing.

We do not guarantee uninterrupted or continuous availability.

Maintenance, cybersecurity events, third-party failures, internet outages, changes to external services, natural disasters, governmental action and other events beyond our reasonable control may affect the Services.

17. Changes to Watchfloor

We may modify, add, restrict or discontinue Watchfloor features where reasonably necessary for:

19. Disclaimer and Limitation of Liability

If you use Watchfloor in the course of a business, trade or profession, to the fullest extent permitted by applicable law:

Notamy Ltd shall not be liable for indirect, incidental, special, consequential or exemplary loss or damage, including loss of:

Notamy Ltd's total aggregate liability arising out of or relating to Watchfloor, these Terms or the Services shall not exceed the greater of EUR 100 or the amount paid by the relevant user to Notamy Ltd for Watchfloor during the three (3) months immediately preceding the event giving rise to the claim.

This limitation applies regardless of the legal basis of the claim, including contract, tort, negligence or otherwise, to the fullest extent permitted by law.

Mandatory rights

Nothing in these Terms excludes or limits liability where liability cannot lawfully be excluded or limited.

If you use Watchfloor as a consumer, nothing in this section excludes or limits any statutory right, remedy or protection that cannot lawfully be excluded or limited.

20. Indemnification by Business Users

If you use Watchfloor in the course of a business, trade or profession, you agree to indemnify and hold harmless Notamy Ltd and its directors, officers, employees and agents from third-party claims, losses and reasonable costs arising from:

21. Privacy

We process personal data in accordance with the Watchfloor Privacy Policy.

The Privacy Policy explains how Watchfloor processes account information, prompts and conversations, reports, registered assets, payment-related information and technical data.

22. Governing Law and Dispute Resolution

These Terms are governed by the laws of Malta.

To the fullest extent permitted by applicable law, any dispute, controversy, or claim arising out of or relating to these Terms or your use of the Services shall be resolved through binding arbitration.

The arbitration will be conducted by a single arbitrator in accordance with the UNCITRAL Arbitration Rules in effect at the time of the dispute.

The arbitration shall take place remotely or in a mutually agreed location and shall be conducted in the English language, unless otherwise agreed.

By using the Services, you waive the right to a trial by jury or to participate in a class action lawsuit.

Notwithstanding the foregoing, if you are a consumer residing in the European Union or in any jurisdiction where mandatory consumer protection laws grant you the right to bring disputes before local courts or prohibit mandatory arbitration, this arbitration clause shall not apply to the extent required by such laws, and you may exercise your rights before the competent courts of your place of residence.

23. Changes to These Terms

We may update these Terms where necessary to reflect changes to:

24. General

These Terms, together with the Privacy Policy and any additional terms expressly agreed for a particular Watchfloor service, constitute the agreement between you and Notamy Ltd concerning your use of Watchfloor.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in effect.

A failure by Notamy Ltd to enforce a provision does not constitute a waiver of that provision.

You may not assign your rights under these Terms without our consent, except where applicable law provides otherwise.

Notamy Ltd may assign or transfer its rights and obligations in connection with a merger, acquisition, restructuring, sale of business or similar transaction, subject to applicable law.
